New Delhi: Adani Power Ltd (APL) has incorporated a wholly-owned subsidiary, Adani Atomic Energy Limited (AAEL), marking its formal entry into the nuclear energy segment, the company said in a regulatory filing to stock exchanges on Thursday.

In an intimation, the company said, “APL has incorporated a Wholly Owned Subsidiary (“WOS”), namely, Adani Atomic Energy Limited (“AAEL”). The Certificate of Incorporation issued by the Central Registration Centre, Registrar of Companies, has been received by the Company on February 11, 2026.” The filing stated that AAEL “is a wholly-owned subsidiary of the Company and hence is a related party of the Company.”

Nuclear energy focus

According to details disclosed in the filing, the newly incorporated entity falls under the “Nuclear Energy” industry. The company said the objective of AAEL is to “generate, transmit, and distribute electric power derived from nuclear and/or atomic energy.”

AAEL has been incorporated in India on February 11, 2026. The filing clarified that no specific governmental or regulatory approvals were required for incorporation.

Capital structure and ownership

The subsidiary has been incorporated through cash consideration. As per the filing, “AAEL is incorporated with authorised capital of Rs. 5,00,000/- divided into 50,000 equity shares of Rs. 10/- each.” “100 percent of the shareholding of AAEL is held by the Company,” the filing added.

Backdrop

The incorporation comes at a time when private sector participation in nuclear energy has gained visibility, particularly after Nuclear Power Corporation of India Ltd’s (NPCIL) Bharat Small Reactors (BSR) tender attracted interest from major industrial groups including Reliance, Adani, Tata and JSPL, with the bid deadline extended to March 2026.
