
Mumbai: Adani Energy Solutions Limited (AESL) has incorporated three new wholly-owned subsidiaries to expand its presence in the electricity distribution business in Maharashtra and focus on Kalyan Dombivli, Pune and Vidarbha regions, the company informed stock exchanges on Monday. The new entities — Adani Electricity Kalyan Dombivli Limited (AEKDL), Adani Electricity Pune Limited (AEPL), and Adani Electricity Vidharbha Limited (AEVL) — were registered on August 4, 2025, with the Registrar of Companies, Gujarat.

In a regulatory filing, AESL said the new companies will focus on electricity production, generation, conversion, transformation, transmission, processing, storage, supply and distribution — the core functions of electric utility services.
Each of the three subsidiaries has an authorised and paid-up share capital of Rs 1 lakh and is fully owned by Adani Energy Solutions. All three are yet to commence operations. The company clarified that the incorporations are not related party transactions and no approvals were required for the acquisition of equity, which was done through cash at a face value of Rs 10 per share.
The move signals Adani Group’s continued push into power distribution in urban and semi-urban clusters across Maharashtra — a state with high electricity demand and ongoing efforts to privatise distribution in certain areas. AESL, formerly known as Adani Transmission, has already made inroads into electricity distribution through Adani Electricity Mumbai Limited.
