Adani Energy Solutions incorporates new subsidiary for power transmission business

Adani Energy Solutions has incorporated a new subsidiary, Adani Energy Solutions Step-Fifteen Ltd, for its power transmission business

New Delhi: Adani Energy Solutions Limited (AESL) on Wednesday informed the stock exchanges that it has incorporated a wholly-owned subsidiary named Adani Energy Solutions Step-Fifteen Limited. In a regulatory filing, the company said, “The Company has incorporated a Wholly Owned Subsidiary company in the name of Adani Energy Solutions Step-Fifteen Limited as per MCA intimation(s) received by the Company on 27th August 2025 at about 01.50 a.m. IST.”

Capital and ownership structure

According to the filing, the new entity has been incorporated with an authorised share capital of Rs 1 lakh and a paid-up share capital of Rs 1 lakh. AESL has acquired 100 percent shareholding in the subsidiary by subscribing to equity shares at a face value of Rs 10 each.

Business purpose

The company outlined the objective of the new entity as, “Incorporated by Adani Energy Solutions Limited, for transmission, distribution and supply of power and other infrastructure services relating thereto.”

Registered with the Registrar of Companies, Gujarat at Ahmedabad on August 27, 2025, Adani Energy Solutions Step-Fifteen Limited is yet to commence business operations. The filing clarified that the transaction does not fall under related-party transactions and no additional regulatory approvals were required.
